Stryker Acquires Orthovita for $316M

Orthovita has announced that it has entered into a merger agreement under which Stryker has agreed to acquire all of the common stock of Orthovita for approximately $316 million, according to a company news release.

Under the terms of the merger agreement, Stryker will commence an all-cash tender offer to acquire all of the outstanding common stock of Orthovita within 10 business days. The tender offer is subject to customary closing conditions, including the expiration or termination of the Hart-Scott-Rodino Antitrust Improvements Act waiting period, and is expected to be completed in the second quarter of 2011.

Following the tender offer, Stryker will acquire the remaining outstanding shares of Orthovita common stock through a second step merger.
